Please read carefully. By accessing or using IMsolver services, you agree to be bound by these Terms of Service. If you disagree with any part, you may not use our services.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and IMsolver Ltd ("Company", "we", "us", or "our"), a company registered in England and Wales, governing your access to and use of our websites, applications, and services (collectively, the "Services").

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

You must meet the following requirements to use our Services:

  • Be at least 13 years of age (or the age of majority in your jurisdiction)
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using our Services under UK or applicable law
  • Provide accurate and complete registration information

If you are using our Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration and Security

Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to update it as necessary to maintain its accuracy.

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Subscription Plans and Billing

Subscription Tiers

We offer Free, Pro, and Enterprise subscription plans. Features, limitations, and pricing are detailed on our pricing page and may change with reasonable notice.

Payment Terms

  • Subscriptions are billed monthly or annually in advance
  • All fees are in GBP (£) unless otherwise stated
  • Payment is processed securely via Stripe
  • You authorize us to charge your payment method on each billing cycle
  • Failed payments may result in service suspension or termination

Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You will be charged at the then-current rate unless you cancel.

Price Changes

We may change subscription prices with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.

5. Cancellation and Refunds

Cancellation

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing period. You will retain access until that date.

Refund Policy

Refunds are provided at our discretion in the following circumstances:

  • Technical issues preventing service access (within 7 days of payment)
  • Duplicate or erroneous charges
  • Service not as described (within 7 days of first payment)

Refunds are not provided for partial billing periods or unused portions of subscriptions. To request a refund, contact support@imsolver.co.uk within 7 days.

6. Acceptable Use Policy

You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Reverse engineer, decompile, or disassemble our software
  • Use our Services for illegal, harmful, or fraudulent purposes
  • Harass, abuse, or harm other users
  • Scrape, crawl, or data mine our Services without permission
  • Resell or redistribute our Services without authorization
  • Use our Services to generate spam or unsolicited communications
  • Impersonate others or misrepresent your affiliation
  • Interfere with or disrupt our Services or servers

Violation of this policy may result in immediate account suspension or termination without refund.

7. Intellectual Property Rights

Our Content

All content, features, and functionality of our Services (including but not limited to text, graphics, logos, software, and AI models) are owned by IMsolver Ltd and protected by UK and international copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of content you upload or create using our Services ("User Content"). By using our Services, you grant us a limited, non-exclusive, royalty-free license to:

  • Store, process, and display your User Content to provide the Services
  • Use anonymized, aggregated data for service improvement

We do not claim ownership of your User Content and will not use it for purposes beyond providing the Services without your explicit consent.

AI-Generated Content

Content generated by our AI tools is provided to you under a non-exclusive license. You are responsible for ensuring AI-generated content complies with applicable laws and does not infringe third-party rights.

8. AI Services and Limitations

Our AI-powered features are provided "as is" with the following acknowledgments:

  • AI outputs may contain errors, inaccuracies, or biases
  • AI-generated content should be reviewed and verified before use
  • We do not guarantee accuracy, completeness, or reliability of AI outputs
  • You are solely responsible for how you use AI-generated content
  • AI models may be updated or changed without notice

Do not rely on AI outputs for critical decisions without independent verification. We are not liable for consequences arising from AI-generated content.

9. Data Privacy and Security

Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with UK GDPR and Data Protection Act 2018.

While we implement industry-standard security measures, no system is completely secure. You acknowledge that you use our Services at your own risk.

10. Service Availability and Modifications

Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice. We are not liable for any modification, suspension, or discontinuation.

11. Termination

By You

You may terminate your account at any time by contacting support@imsolver.co.uk or using account deletion features.

By Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms or our Acceptable Use Policy
  • Engage in fraudulent or illegal activity
  • Fail to pay subscription fees
  • Pose a security risk to our Services or other users

Effect of Termination

Upon termination, your right to use the Services ceases immediately. We may delete your User Content after 30 days. Provisions regarding intellectual property, disclaimers, and limitations of liability survive termination.

12. Disclaimers and Limitations of Liability

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY UK LAW, IMSOLVER LTD SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, or goodwill
  • Service interruptions or errors
  • Third-party actions or content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under UK law.

13. Indemnification

You agree to indemnify, defend, and hold harmless IMsolver Ltd, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use or misuse of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content

14. Governing Law and Dispute Resolution

Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or our Services shall be resolved through:

  1. Good faith negotiation between the parties
  2. Mediation (if negotiation fails)
  3. Exclusive jurisdiction of the courts of England and Wales

15. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and IMsolver Ltd regarding our Services.

Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (e.g., natural disasters, war, pandemics, government actions).

16. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or prominent notice on our website at least 30 days before taking effect. Continued use after changes constitutes acceptance.

The "Last updated" date at the top indicates when these Terms were last revised.
